Terms of Service – Concept Design Colour Finish Pty Ltd
These Terms of Service ("Terms") govern the use of services provided by Concept Design Colour Finish Pty Ltd a professional interior design company ("Company" or "we"). By engaging our services, you ("Client" or "you") agree to be bound by these Terms. Please read them carefully before proceeding.
1. Scope of Services:
a. The Company offers interior design and consulting services, including but not limited to space planning, furniture selection, colour schemes, material recommendations, and lighting design.
b. The specific services to be provided will be outlined in a separate agreement, such as a design proposal or contract, which will detail the project scope, deliverables, fees, and timelines.
2. Client's Responsibilities:
a. You agree to provide accurate and complete information regarding your requirements, preferences, budget, and any other pertinent details related to the project.
b. You are responsible for obtaining any necessary permissions, approvals, or permits required for the implementation of the design, including adherence to applicable building codes and regulations.
c. It is your responsibility to ensure that the premises and utilities are available and ready for the design work to commence as per the agreed-upon schedule.
3. Intellectual Property:
a. The Company retains all intellectual property rights, including copyrights, to the design concepts, drawings, specifications, and any other materials created as part of the services rendered.
b. Upon payment of all fees owed, the Company grants you a non-exclusive, non-transferable license to use the final design solely for the intended purpose and within the specified location.
4. Fees and Payment:
a. The fees for our services will be set forth in the agreement between the parties and are due according to the payment schedule outlined therein.
b. Any additional expenses, such as travel, procurement, or third-party services required for the project, will be billed separately and reimbursed by you.
c. Late payments may be subject to interest charges or suspension of services at the Company's discretion.
5. Confidentiality:
a. The Company and its representatives will maintain the confidentiality of any proprietary or sensitive information disclosed by you during the course of the project.
b. You agree to keep confidential any confidential information, including design concepts or trade secrets, shared by the Company.
6. Limitation of Liability:
a. The Company will make reasonable efforts to provide accurate and satisfactory services. However, we do not guarantee specific results or outcomes.
b. The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the services provided, including but not limited to delays, errors, or omissions.
7. Termination:
a. Either party may terminate the agreement upon written notice if the other party materially breaches the Terms and fails to remedy such breach within a reasonable period.
b. In the event of termination, you shall compensate the Company for any work performed or expenses incurred up to the termination date.
8. Governing Law and Jurisdiction:
These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Victoria.
9. Entire Agreement:
These Terms, along with any separate agreements or contracts entered into between the parties, constitute the entire agreement between the Company and the Client and supersede any prior understandings or agreements, whether oral or written.
